CONSTITUTION

OF THE

SAINT BERNARD BREED CLUB OF WESTERN AUSTRALIA (INC)

  1. NAME:

    2. The name of the club shall be the SAINT BERNARD BREED CLUB OF WESTERN AUSTRALIA (INC)

  2. AIMS AND OBJECTIVES

To engage in every way to promote the exhibiting and breeding of Saint Bernards and striving to improve conditions in general and to engage in and encourage social activities.
    1. By furnishing technical advice where possible.
    2. By promoting or arranging for shows, get togethers, displays, exhibitions, matches, competitions, lectures. and discussions.
    3. By establishing or arranging for printing and publication of magazines, essays and reports.
    4. By fostering and encouraging show courtesy and hygiene at show sites.
    5. By obtaining better terms through collective representation in matters pertaining to Pedigree Breeding and showing.
    6. Generally to enter into all such agreements and all such acts, deeds, matters and things as may be deemed necessary or expedient for the purpose of obtaining the above object and furthering the interest of the Club whether such activities are directly concerned with Breeding or Showing or not.
    7. The property and income of the club and no part of that property or income may be paid or otherwise distributed directly or indirectly to members of the club except in good faith in the promotion of those objects or purpose.

3. MEMBERSHIP QUALIFICATION

The membership shall be open to any person who is interested in Breeding, Showing or who owns a pedigree dog.
  1. HONORARY LIFE MEMBERSHIP

    2. Being men or women holding membership who in the opinion of the Committee or Members has rendered outstanding service or assistance to the Club and may on a recommendation be elected an Honorary Life Member at the Annual General Meeting.

  2. APPLICATION FOR MEMBERSHIP

    3. Shall be made by the applicant on the form as prescribed by the Committee and shall be lodged or mailed to the Secretary of the Club together with the required fee. The application shall include all details as setout for membership. The committee shall consider each application made at a Committee meeting accept or reject that application.

  3. CESSATION OF MEMBERSHIP

An individual ceases to be a member of the Club if the individual:
    1. Resigns that membership
    2. Dies
    3. Fails to pay the renewal subscription by the due date
    4. Is expelled from the Club
  1. A MEMBER

    2. Is a financial member for the purpose of these Rules if his or her subscription is paid on or before 1st January or within 3 months after.

  2. RESIGNATION OF MEMBERS

    3. A person who ceases to be a member remains liable to the Club the amount of any monies due and payable by that person to the Club but unpaid at the date of that cessation.

  3. EXPULSION OF A MEMBER OF THE CLUB

    4. If the Committee considers that a member should be expelled from membership of the Club because of his or her conduct is detrimental to the interest of the Club the Committee shall communicate in writing by registered mail notice of the proposed expulsion and of the time, date, place of the Committee meeting at which the question of expulsion will be decided and particulars of that conduct, not less that 14 days before the date of the Committee meeting referred.

  4. FEES

    5. Each member shall pay annually on or before the 1st January. The amount of the subscription determined at the Annual General Meeting which stands at the moment at $25.00 Double and $20.00 Single Membership.

  5. THE COMMITTEE

    6. Shall be referred to in these rules as "The Committee" and subject to the Act, the Regulations and these Rules and to any resolutions passed by the Club in Annual General Meeting Shall:

    1. Control and manage all affairs of the Club
    2. Exercise all such functions as may be exercised by the Club other than those functions that are required by the Rules to be exercised by an Annual General Meeting or General Meeting of the members of the Club, and:
    3. Have power to form sub-committees from time to time.
  6. THE CLUB COMMITTEE

    7. Shall consist of Office bearers of the Club each of who shall be elected annually.

  7. THE OFFICE BEARERS OF THE CLUB

    8. Will consist of a President, one Vice President, one Treasurer, one Secretary, three committee members and one Editor.

    1. In the event of casual vacancy occurring in the Committee, the Committee may appoint a member of the Club to fill the vacancy until the next Annual General Meeting.
  8. COMMITTEE NOMINATION

    9. To be on clubs form signed by:

    1. The nominator
    2. The nominee to signify his or her willingness to stand for election.
    3. The committee is eligible for re-election
    4. If the number of nominations is equal to the number of vacancies to be filled the candidates nominated will be deemed as elected.

15. CHAIRPERSON

The President shall preside at all meetings. In the event of the absence of the President the Vice President shall preside. If the above are absent a member elected by the other members present shall preside.
  1. SECRETARY

    2. Shall keep books with details of the Clubs financial activities. All cheques shall be signed by any two of President, Treasurer, or Secretary.

  2. COMMITTEE

    3. Shall meet not less than ten times in each year.

    The President may at any time convene a meeting of the Committee. The person presiding shall have a deliberative and casting vote. A quorum of five members will constitute a committee meeting with two of these members being Office bearers. At the annual General Meeting the President shall convene the meeting within the time limits provided for the holding of Annual General Meetings by section 23 of the Act.

  3. VOTING RIGHTS OF THE MEMBERS OF THE CLUB

    4. Subject to this rules each member present in person Annual General Meeting or General Meeting is entitled to a deliberative vote.

  4. COMMON SEAL OF THE CLUB

    5. The common seal of the Club shall be kept in custody of the President or person as Committee may decide.

  5. INSPECTION OF RECORDS

    6. A member may at a convenient time on request inspect the books, records, documents and securities of the Club.

  6. PROPERTY

    7. The Club shall not own any property.

  7. RULES OF THE CLUB
    1. The Club may alter or rescinder these rules or make rules additional to these rules in accordance with the procedure set out in sections 17, 18 ,19 of the Act.
    2. These rules bind every member and the Club to the same extent as if every member and the Club had signed and sealed these rules and agreed to be bound by all their provisions.
  1. DISSOLUTION OF THE CLUB

Should the Club be dissolved the surplus monies and property (if any) after satisfaction of debts and liabilities of the club and the cost charges and expenses of that winding up, that the property shall be distributed to the Canine Association of WA (Inc)
